Terms and Conditions

Henry and Clover

1. Introduction

1.1 These terms and conditions apply to the use of our website or the purchase of products offered through our website.

1.2 The defined terms and interpretations of these terms and conditions are set out in paragraph 26.

2. Acceptance

2.1 You represent and warrant that:

(a) You are a natural person and are at least 18 years old, or have the consent of a parent or legal guardian where required;

(b) you have the power to enter into a legally binding contract with us; and

(c) you are not prevented by any applicable law or treaty from entering into a legally binding contract with us.

2.2 We reserve the right to request reasonable confirmation of your authority to accept these Terms.

2.3 You represent and warrant that you will not use our website for any unlawful, fraudulent or prohibited purpose.

2.4 We reserve the right to refuse or restrict access to our Site where we have a legitimate reason to do so, including where these Terms have been breached.

2.5 Placing an order means:

(a) your confirmation that you have read these Terms and Conditions;

(b) your offer to purchase the Order in accordance with these Terms and Conditions;

(c) your agreement that any Order Confirmation will be subject to these Terms and Conditions; and

(d) your undertaking to comply with these Terms and Conditions.

2.6 If you do not agree to these Terms and Conditions, you must not use the Site or purchase any Products.

2.7 You must expressly agree to these Terms and Conditions when required in order to:

(a) submit information to or through our website; or

(b) purchase a Product.

2.8 By visiting our website, purchasing Products or agreeing to these Terms and Conditions:

(a) you also agree to our Privacy Policy; and

(b) you agree to comply with our Acceptable Use Policy (see paragraph 12 below for further details).

Your consent to non-essential cookies is managed separately through our cookie settings.

2.9 We recommend that you save or print a copy of these terms and conditions for future reference.

2.10 If you do not agree to these terms and conditions, you may not place an order.

3. Personal use

You confirm that you will use the Website to purchase Products solely for your own personal, non-commercial use as a principal and not as a representative or on behalf of any other person, unless otherwise agreed with us.

4. Prices

4.1 The prices of the Products shown on our website are inclusive of any delivery charges where stated at checkout. Any applicable taxes, duties or other charges will be displayed or explained before you complete your order where required by law.

4.2 Any duties, taxes, fees, levies or other governmental charges relating to the importation of the Products to the delivery address may be your responsibility where legally payable by the customer. The responsibility for VAT and import charges depends on the applicable laws, the destination and the value of the shipment. Where we are legally required to collect VAT at checkout, this will be included in the amount charged to you. You will not be charged the same VAT again as import VAT. Where import VAT, customs duties or handling charges are legally payable by the customer on delivery, these charges are the customer’s responsibility. We recommend checking the applicable import rules before placing an order.

4.3 We will do our best to ensure that all details, descriptions and prices of the Products that appear on our Site are correct. However, there may be instances where errors occur. If we find that a pricing error has occurred, we will notify you as soon as possible and give you the opportunity to reconfirm your order at the correct price or cancel your order. If we are unable to contact you or do not receive a response from you, the order will be treated as cancelled and you will receive a full refund. If you choose to reconfirm your order, we will arrange delivery and charge or refund any difference using the same payment method you used to place your order.

4.4 We are not obliged to fulfil an Order where the price quoted on the Website is clearly incorrect. If payment has already been made, we will refund you in full if the order is cancelled.

4.5 Prices may be changed from time to time. However, such changes will not affect an order for which an Order Confirmation has been sent.

5. Placing an order

5.1 Once you have placed an order, all orders are subject to stock availability. If we have sufficient stock to fulfil your order, you will receive an Order Confirmation acknowledging receipt of your order. In the event of delivery difficulties or unavailability of stock, we will inform you by email and refund any payments made for the affected order.

5.2 A contract is concluded when we issue you with an Order Confirmation and only in respect of the Product(s) listed in that confirmation. These general terms and conditions of sale form an integral part of the contract.

5.3 If your order consists of more than one Product, the Products may be delivered to you in separate deliveries at separate times.

5.4 We reserve the right to remove Products from the Site at any time. We also reserve the right to edit or remove any material or content from the Site. We shall not be liable for the removal of any Product or content, provided that this does not affect an order already accepted by us.

5.5 We reserve the right to refuse or cancel an order where there is a legitimate reason, including suspected fraud, an obvious pricing error or stock unavailability. If we cancel your order after receiving payment, the payment will be refunded to you in full.

5.6 If we cancel your order after we have received payment, the payment for the order will be refunded to you in full using the original payment method, unless otherwise agreed.

6. Payment

6.1 You can pay for the Products using the payment methods displayed on our website, including:

  • Shop Pay
  • Visa
  • Mastercard
  • American Express
  • Maestro
  • UnionPay
  • Apple Pay
  • Google Pay

6.2 You may also pay for all or part of your order using a promotional voucher that we make available to you. Promotional vouchers can only be redeemed online at checkout.

6.3 We may use payment intermediaries to process payments between you and us. You agree that we may pass the information necessary to process your payment to these payment intermediaries, in accordance with our Privacy Policy.

6.4 We are not a regulated payment processor or money service provider and we are not responsible for payment failures or problems caused by payment intermediaries. This does not affect any rights you may have against your payment provider.

6.5 You are responsible for providing complete and accurate information during the payment process. By placing an order, you confirm that:

(a) the method of payment used is yours or that you are authorised to use it;

(b) where applicable, you are the rightful holder of the promotional voucher; and

(c) you have sufficient funds or credit capacity to pay for the relevant order.

6.6 We are not responsible for the unauthorised use of your credit, debit or prepaid cards by third parties. We may report suspected fraudulent payments or other illegal activity to the relevant authorities where appropriate.

6.7 You shall not knowingly make fraudulent chargebacks or reverse payments without a valid reason. Nothing in this paragraph affects your legal rights to dispute a payment or seek a refund.

6.8 You shall be responsible for any reasonable losses or costs we incur as a direct result of proven fraud or misuse of the payment process by you.

7. Delivery

7.1 We will endeavour to deliver your order to the delivery address given at the time of ordering.

7.2 We will indicate an estimated delivery date or delivery period at checkout or in the order information.

7.3 We may notify you if we are unable to meet the estimated delivery date. If delivery is delayed, we will take reasonable steps to keep you informed. Your statutory rights in relation to delayed or missing deliveries remain unaffected.

7.4 We may not be able to deliver Products to certain locations. In this case, we will inform you and arrange to cancel and refund the order or deliver the order to an alternative delivery address confirmed by you.

7.5 Risk in the Product passes to you when the Product is delivered to you or to a person nominated by you, other than the carrier. This does not affect your statutory rights.

7.6 If you are unable to accept delivery or collection of your order, the carrier may leave a card giving you instructions for redelivery or collection.

7.7 If delivery or collection is delayed because you unreasonably refuse delivery or fail to collect your order, we may charge you for reasonable costs we incur as a direct result, where permitted by law.

7.8 Orders will normally be processed within 1–3 working days after confirmed receipt of payment. Estimated standard delivery is usually 3–8 working days after dispatch. Delivery times are estimates and may vary depending on the destination, carrier and other circumstances. We will inform you if we become aware of a significant delay.

7.9 Any duties, taxes, customs duties, levies or other official charges relating to the import of the Products to the delivery address are handled in accordance with paragraph 4.2. Where such charges are legally payable by the customer on delivery, the customer is responsible for paying them. Where we are legally required to collect VAT at checkout, it will be included in the checkout total.

8. Cancellation or modification of orders

8.1 Once an order has been placed on our website, you can request cancellation or amendment by sending us an email at info@henryandclover.co.uk. We will do our best to accommodate your request.

8.2 If an order has already been processed or dispatched, we may not be able to stop it before delivery. In that case, you may exercise your applicable cancellation and return rights under paragraph 10 below. Your statutory right to cancel an online purchase within the applicable cancellation period is not affected by this paragraph.

8.3 As orders may be processed quickly, we cannot guarantee that a cancellation or modification request will be received before processing or dispatch. However, this does not remove or restrict any statutory cancellation rights you may have after delivery.

9. Defective products

9.1 You acknowledge that the Products are standard products and are not custom-made to meet your particular requirements, unless expressly stated otherwise.

9.2 All product descriptions, information and materials on the Website are provided in good faith. Nothing in these Terms excludes or limits your statutory rights if a Product is faulty, not as described or not fit for purpose.

9.3 Illustrations of Products may differ slightly from the actual Product you receive. Such differences will not affect your rights if the Product is materially different from its description.

9.4 If the Product you receive is faulty or damaged, please email us at info@henryandclover.co.uk, explaining the problem and, where possible, attaching a photograph of the faulty or damaged Product.

9.5 You may return a faulty Product in accordance with your statutory rights and the return instructions we provide.

9.6 We will examine the Product as soon as reasonably possible after receiving it.

9.7 We will inform you by email of the outcome of our examination and the available options.

9.8 If a Product is faulty, not as described or otherwise does not meet the requirements of applicable law, you may be entitled to a repair, replacement, refund or other remedy under applicable consumer law. Where a refund is due, it will be made using the original payment method unless otherwise agreed.

9.9 If we determine that the Product is not faulty, we will explain the reasons for our decision. We will not charge you unreasonable inspection or service fees. Your statutory rights remain unaffected.

10. Returns and refunds

10.1 Our returns policy forms part of these Terms and Conditions of Sale, on the basis of which you may access and use our Site.

10.2 If you are not completely satisfied with your order, please email us at info@henryandclover.co.uk to inform us of the Product you wish to return. For most online purchases, you have a statutory cancellation period of 14 days from the day you, or a person nominated by you (other than the carrier), receive the Product. In addition, Henry and Clover offers a voluntary return period of up to 30 days from delivery, subject to the conditions below. The voluntary return period does not replace or reduce your statutory rights.

10.3 For a change-of-mind return, the customer is responsible for the direct cost of returning the Product, provided that this has been made clear before the purchase. If a Product is faulty, damaged or not as described, we will cover reasonable return costs in accordance with applicable law.

10.4 For a statutory cancellation, you must send the Product back within 14 days after notifying us of your cancellation. We may withhold the refund until we have received the Product or you have provided evidence that you have sent it back, whichever happens first.

10.5 You must take reasonable care of the Product while it is in your possession. You may handle the Product as you would in a shop to establish its nature, characteristics and functioning. If the Product has been handled beyond what is necessary and its value has consequently decreased, we may make a lawful deduction from the refund. Where possible, Products should be returned with their original packaging and labels.

10.6 Our processing time for returns will depend on the circumstances of the return. We will handle returns and refunds within the time limits required by applicable law.

10.7 If your return is approved, a refund will normally be issued to the payment method used for the order. For statutory cancellations, we will refund the amount due, including the cost of standard delivery where required by law. Refunds will be made within the applicable legal time limit.

10.8 For a statutory cancellation, you must notify us of your decision to cancel within the applicable cancellation period. You must then return the physical goods within the required return period. The cancellation is not dependent on our approval of the return.

10.9 If the goods are already on their way to you, this does not remove your statutory right to cancel. Please contact us by email to notify us of your cancellation and follow the return instructions we provide after delivery. We recommend keeping proof of postage when returning an item.

11. Vouchers

11.1 You can use our promotional vouchers or discounts when you make payment for Products on the Website.

11.2 To use a voucher or discount, the voucher or discount code must be entered on the checkout page of your order.

11.3 Once the voucher or discount code has been entered and applied, the voucher or discount will count towards the total amount of your order at checkout.

11.4 You may only redeem or use one promotional voucher or discount per order, unless otherwise stated.

11.5 The credit from a Promotional Voucher does not bear interest and has no cash value, except where required by law.

11.6 If the credit on a promotional voucher is insufficient for your order, you may pay the difference using a separate payment method available on the Site.

11.7 If you use a promotional voucher for an order that has been returned, the value of the promotional voucher will be handled in accordance with the voucher’s terms and applicable law. Any amount paid using a separate payment method will be refunded where a refund is due.

14.4 You undertake to inform us of any suspected infringement of our intellectual property rights.

14.5 You may not use our trade marks without our prior written consent unless their use is permitted by law.

15. Data protection

15.1 Our Privacy Policy forms part of these terms and conditions and explains how we collect, use and protect your personal data.

15.2 We use cookies and similar technologies on our Website. Essential cookies may be used to operate the Website. Non-essential cookies, such as analytics and advertising cookies, will only be used where the required consent has been given. For more information, please see our Privacy Policy and Cookie Policy.

15.3 If you provide us with your personal data, we will process such personal data in accordance with our Privacy Policy and applicable data protection laws. We will take appropriate security measures to protect personal data against unauthorised or unlawful processing and against accidental loss, destruction or damage.

15.4 Information and documents generated in connection with the sale of the Products may be shared with our employees, service providers, payment processors, delivery partners or other agents where necessary to fulfil your order or meet our legal obligations. 17. Liability

17.1 Nothing in these Terms and Conditions excludes or limits any liability that cannot lawfully be excluded or limited. Subject to this, we will not be liable for losses that are not reasonably foreseeable or that are not caused by our breach of these Terms and Conditions.

17.2 We shall not be liable to you for any loss of profits, business opportunities, goodwill, savings or benefits, or any form of indirect or consequential loss, where such exclusion is permitted by law.

17.3 Our liability arising directly or indirectly from these Terms, including your purchase of Products from us, shall not exceed the amount permitted by applicable law. Nothing in this paragraph limits your statutory rights as a consumer.

17.4 Any claim for breach of contract, negligence or other legal claim must be brought within the time limits provided by applicable law.

17.5 Nothing in these Terms excludes or limits any claim that you may lawfully bring against us or any rights you may have against our employees, officers, consultants or agents.

17.6 All terms, conditions and warranties implied by law are excluded only to the extent that such exclusion is legally permitted. Your statutory rights relating to the quality, description and fitness of Products remain unaffected.

17.7 Only claims against us may be made in relation to our obligations under these Terms, except where applicable law provides otherwise.

17.8 Any limitation of liability in this paragraph 17 applies only to the extent permitted by applicable law.

17.9 Nothing in these Terms creates separate limitations of liability that would unlawfully restrict your rights as a consumer.

17.10 If we are jointly liable to you with another party, our liability will be determined in accordance with applicable law.

17.11 Any reduction of liability due to the actions of another party will apply only where permitted by applicable law.

17.12 No provision in these Terms will prevent you from pursuing a legal remedy where such remedy is available under applicable law.

17.13 The exclusions and limitations of liability contained in these Terms and Conditions shall not affect our liability:

(a) for death or personal injury resulting from our negligence;

(b) for fraud or fraudulent misrepresentation;

(c) for any other liability which cannot be excluded or limited by law; and

(d) for any statutory consumer rights or remedies that cannot lawfully be excluded or limited.

17.14 These provisions do not restrict any legal remedy available to you under applicable consumer protection laws.

18. Indemnification

18.1 You will be responsible for direct losses and reasonable costs we suffer where these arise from:

(a) a material breach by you of these Terms and Conditions;

(b) any fraud, negligence or misconduct by you; or

(c) your unlawful use of our Website.

18.2 We shall be entitled to claim reimbursement of reasonable costs incurred by us in connection with such a claim, where permitted by law.

19. Force majeure event

19.1 If a Force Majeure Event prevents us from fulfilling our obligations for more than one week, we will contact you to explain the situation. If the order cannot reasonably be fulfilled, we may cancel the affected order and refund any payment received for Products that have not been delivered.

19.2 We reserve the right to take reasonable steps to deal with the occurrence of a Force Majeure Event in order to meet our obligations under these Terms and Conditions.

20. Variations

20.1 We may change these Terms and Conditions from time to time. We will publish the updated version on our Website and indicate when it was last updated. Changes will not affect an order for which an Order Confirmation has already been sent, unless the change is required by law or agreed with you.

20.2 If you do not agree to amended Terms and Conditions, you must stop using our Website or purchasing our Products.

20.3 Where your express consent is legally required for a revision of these Terms and Conditions, we will ask you for that consent before applying the revised Terms to your order.

21. Your breach

21.1 Without prejudice to our other rights under these Terms, if you breach these Terms in a material way, or if we have reasonable grounds to suspect that you have breached these Terms, we may:

(a) send you one or more formal warnings;

(d) refuse a payment where there are reasonable grounds to suspect fraud;

(e) permanently restrict your access to our Website in serious cases;

(f) block access to our Website from computers using your IP address where reasonably necessary;

(g) contact relevant service providers where appropriate; or

(h) take legal action where justified.

21.2 If we suspend, restrict or block your access to our Site, you must not take steps to unlawfully circumvent such restriction.

22. Termination and suspension

22.1 You may cease using the Site at any time.

22.2 We may suspend the provision of the Site where reasonably necessary, including for maintenance, security or operational reasons.

22.3 Without prejudice to paragraph 22.2, we may suspend or terminate your access to the Site if your use of the Site is likely to give rise to legal liability or to disrupt the use of the Site by others.

22.4 If we suspend or terminate your access to the Site, we will endeavour to notify you in advance where reasonably possible. However, we may suspend or terminate access immediately where necessary for security or legal reasons.

22.5 We do not guarantee that our Website will always be available or that it will be available without interruption. We may interrupt, suspend, withdraw or restrict the availability of all or part of our Website for commercial or operational reasons. We will endeavour to give reasonable notice where possible. This does not affect any rights you may have in relation to an order already placed.

23. Effect of termination

23.1 Termination of these terms and conditions will not affect any obligations or rights that have already arisen, including obligations relating to orders, payments, returns and refunds.

23.2 Under no circumstances shall you be entitled to compensation solely because we terminate or suspend access to our Website, except where such compensation is required by law or relates to a separate breach of contract.

23.3 Termination of these terms and conditions shall not affect any other rights which have already arisen and shall not affect any provisions of these terms and conditions which, in accordance with their terms, apply or are to come into force thereafter. Paragraphs 17 (Liability) and 18 (Indemnification) shall also apply after termination to the extent relevant.

24. General provisions

24.1 You may not assign any of your rights under these terms and conditions without our prior written consent, except where permitted by law.

24.2 The rights, powers and remedies provided by these Terms and Conditions are cumulative and not exclusive of any rights, powers and remedies provided by law.

24.3 We may subcontract the hosting of the Website and other services to third parties.

24.4 If the validity or enforceability of any provision of these terms and conditions is limited by applicable law, that provision will be valid and enforceable to the maximum extent permitted by that law. The invalidity or unenforceability of any such provision shall not affect the validity or enforceability of the remaining provisions.

24.5 The failure to exercise or delay in exercising any right, power or remedy under these Terms or by law shall not constitute a waiver of that right, power or remedy.

24.6 The exercise of the parties’ rights under these Terms and Conditions is not conditional on the agreement of any third party.

24.7 These Terms and Conditions are for our benefit and yours and are not intended to benefit or be enforced by any third party, except where applicable law provides otherwise.

25. Applicable law

25.1 These Terms and Conditions shall be governed by the laws of England and Wales, where applicable.

25.2 If you are a consumer residing in another country, this choice of law does not deprive you of any mandatory consumer protection rights granted to you under the laws of your country of residence.
